Any good idea of a start-up will only be realised if the necessary capital is available. However, most founders of a start-up do not have sufficient financial resources, so that they are usually dependent on external financing at or shortly after the start of the business. This financing typically takes the form of issuing new shares to investors (Family & Friends, VC funds, business angels, etc.) in the course of a capital increase. This aspect should already be taken into account during the foundation phase when drafting the articles of association. The company with limited liability (GmbH) is usually the most suitable corporate form. With its limitation of liability, it offers sufficient security and at the same time a great deal of freedom in structuring the company and allows for the uncomplicated admission of further shareholders in later financing rounds. In order to be able to negotiate on an equal footing with potential investors in these financing rounds, founders should seek legal advice at an early stage.
